What you get

Every output sheet updates from one central Assumptions tab, so changing the pre-money valuation or raise amount recalculates the entire model at once.

How to use it

Open the file in Excel or upload it to Google Sheets. Start on the Assumptions tab and enter your pre-money valuation, target raise, and option pool size, then fill in founder shares and SAFE terms on their respective sheets. The Dilution Waterfall and Pro-Forma Ownership table recalculate automatically, so you can run scenarios — different valuations, different raise amounts — before you sign anything.
